The restaurant chain is considering whether to accept the £2.7m offer of Azzurri Group, which operates Ask Italian and Zizzi.
If accepted, the deal would then wipe out over a hundred of its investors which are reported to include top bankers and a former cabinet minister.
Pod declined to comment.
